West Virginia BASS Federation, Inc. By-Laws
Article I : Name
This organization shall be known as the West Virginia BASS Federation, Inc. hereafter referred to as the “Federation” or “WVBF”.
Article II : Purpose
To stimulate public awareness of bass fishing as a major sport. To offer the West Virginia Division of Natural Resources our organized moral and political support and encouragement. To promote full adherence to all conservation codes and to demand adequate water standards and legal enforcement of existing regulatory standards. To detect and report any polluter and call public and political attention to crime. To improve our skill as bass anglers through the fellowship and friendly exchange of expert bass catching techniques and ideas, and to promote and encourage youth fishing and love for this great recreation. To function as a dynamic and effective link with individual chapters and other federations embracing the principles and purposes of TBF.
Article III : Membership
Section 1 :
All WV BASS clubs, hereafter referred to as “Chapters” or “Clubs”, affiliated with TBF and recognized by the West Virginia BASS Federation are eligible and will be invited to join the Federation. Chapters must maintain a minimum of 6 (six) members to be a member Chapter of the Federation. New Chapters must be chartered and have dues paid by the March meeting of the Federation in order to participate in Federation regional qualifiers and the state championship for that year. All Chapter members must maintain membership with TBF and FLW and be in good standing with WVBF.
Section 2 :
The Board of Directors may establish a dues structure as a requirement of a chapter to hold membership in the Federation. Chapter dues will be $600.00 (six hundred dollars) per year and are due to be paid by the Federation meeting in March of each year. The Board of Directors will determine any change to the assessment of dues.
Section 3 :
Non-discrimination: There shall be no discrimination in membership or participation in the activities of the Federation by reason of race, creed, color, national origin, disability, sexual orientation or gender. There shall be no discrimination in membership based on age, with the exception of certain youth activities which have minimums or maximums.
Article IV: Delegates
Each Chapter will select one member to serve as a delegate to the Federation. To remain affiliated with the Federation, the Chapter delegate, or alternate, must attend 2 (two) of the 4 (four) regular meetings of the Federation, the November meeting being mandatory. Penalty for failure to meet this attendance requirement will be determined by the Board of Directors.
Article V: Geographic Organization
The West Virginia BASS Federation is comprised of 3 (three) regions, Northern, Central and Southern. The Board of Directors will assign Chapters to region.
Article VI: Board of Directors
The Federation Board of Directors will be comprised of 10 members consisting of 4 (four) General Directors and 6 (six) Regional Directors, 2 (two) from each region. In the event an insufficient number of nominations are received from a region to fill an open seat(s), nominations will be accepted from other regions to fill the open seat(s). The President will then appoint an elected board member(s) to represent the region lacking nominations.
Article VII: Elections
Section 1: Officers
a.) General Board Members:
These members of the Federation Board of Directors shall be elected by the Chapters to serve a 3 (three) -year term. In June the Secretary-Treasurer will send an election notice to each Chapter asking for nominations for those general board member positions whose terms will expire at year’s end. These nominations will be submitted, in writing or from the floor, at the August meeting of the Federation. The Secretary-Treasurer will then communicate through email, web site posting or mail, a ballot of nominees to each eligible Chapter, who will then cast 1 (one) vote for each vacating board seat at the November meeting of the Federation. Nominees receiving a simple majority of votes will be elected and assume office on January 1 of the following year. Immediately following the election of directors, the newly composed Board of Directors will meet to elect a President, Vice-President and Secretary-Treasurer, who will serve a 1(one) -year term.
b.) Regional Directors:
Chapter delegates within each of the 3 (three) regions of the Federation will meet and elect 2 (two) Directors from each region to serve a 3 (three)-year term.
c.) Vacated Offices
Special elections may be held to fill vacated offices. Such elections will be held as soon as possible by a meeting of the Board of Directors.
Section 2: Eligibility of Officers
a.) Must be a member in good standing of TBF, FLW and WVBF.
b.) Must be a member in good standing of an active affiliated Chapter of the West Virginia BASS Federation. c.) Must sign a conflict of interest statement with West Virginia BASS Federation.
Article VIII: Duties of Officers and Removal From Office
Section 1: Duties of Officers
a.) Preside over all meetings of the Board of Directors and any meetings of the West Virginia BASS Federation.
b.) Direct all official business.
c.) Supervise all official activities.
d.) Appoint all chairmen and special committees.
e.) Represent the West Virginia BASS Federation in matters relating to TBF and other organizations.
f.) Delegate such other duties as appropriate to better serve the West Virginia BASS Federation.
a.) Preside over meetings of the Board of Directors and any meetings of the Federation in the absence of the President.
b.) Assist the President at his request.
c.) Assume the office of President, should it become vacated, until a successor is elected and installed. The Vice-President shall be the first successor to the office of President.
d.) Serve as ex-officio members of all standing and special committees.
a.) Record minutes of meetings of the Board of Directors and any meeting of the Federation and distribute copies of approved minutes to each Chapter.
b.) Maintain accurate financial records and receive and disburse funds upon approval of the Board of Directors or the membership and present a financial report at each meeting of the Federation.
c.) Maintain a record of, and report, all votes cast by the Board of Directors or the Federation membership. This record shall become part of the official minutes.
d.) Maintain correspondence in all Federation matters.
e.) Conduct an annual financial audit with the Vice-President and present the audit report at the August meeting of the Federation.
f.) Assist the President at his request.
4.) Regional Directors:
a.) Attend all meetings of the Federation Board of Directors.
b.) Convey business of their respective region to the Board of Directors.
c.) Report business of the Board of Directors to their respective region.
d.) Attend any meeting of Chapter representatives from within their respective region.
Section 2: Removal From Office
Any Officer, who shall fail to fulfill the duties of his office, may be removed from office at a regular or special meeting by a 2/3rds (two-thirds) majority vote of the Board of Directors, provided said Officer and the entire Board of Directors have received 30 (thirty) days prior notice.
Article IX: Account Year and Meetings
Section 1: Account Year
The fiscal year of this Federation shall be from January 1 through December 31.
Section 2: Meetings
The Board of Directors shall meet at least four times a year.
Article X: Committees and Divisions
Section 1 : Appointment of Committees
The President shall appoint the following Committees:
a.) Conservation: The purpose of this committee shall be to protect our natural environment from harmful change; to document and report to the proper authorities violations of local, state and federal anti-pollution laws, statutes, regulations, ordinances and other regulatory devices; to undertake informational and educational programs; to bring to the public a great awareness of threats to our environment; and, above all, to take a leadership role on repairing the harm that has already been done to the life-giving waters of West Virginia.
b.) Tournament: The purpose of this committee shall be to plan, organize and operate annual Regional Chapter Division Qualifier and State Chapter Championship Tournaments, which will determine eligibility to enter the TBF National Federation Mid Atlantic Division Championship. To determine eligibility, set awards, rule with final authority on the proper conduct, procedures and qualifications and other matters properly relating to the orderly conduct of annual West Virginia BASS Federation Championship Tournaments. All State Chapter Qualifying and Championship Tournaments will be conducted within the spirit of the current National Tournament Rules of the TBF.
Regional Division Qualifier Tournament sites will be determined by the delegates from each regional division at the November meeting of the Federation. No regional qualifying tournament shall be held on designated State Championship Tournament water.
State Championship Tournament sites will be determined by the delegates from 1 (one) regional division, alternating each year, at the November meeting of the Federation.
It will be the primary duty of the committee to conduct its affairs in a manner that only honor, integrity, sportsmanship and the very highest ideals of fair play will accrue to it and thus to each and every member of TBF.
Final authority on rules, dates, times and other aspects of tournaments rest with the Board of Directors.
c.) Youth: The purpose of this committee shall be to plan, organize, implement and participate in youth events; to introduce young fishermen to the goals of TBF; to give them a basis for respect of our national heritage, an appreciation of the basic rules of honesty, integrity, fair play and good sportsmanship; to give them an introduction to the sheer joy of bass fishing.
d.) Communication: The purpose of this committee shall be to gather, from each Chapter and from TBF and other affiliated partners, news items, legislation pertinent to the Federation, local Chapter tournament schedules and results, and any or all information deemed of interest to local members or chapters and to periodically publish and distribute such information in the form of a West Virginia BASS Federation Newsletter and/or official website www.wvbass.com.
The Federation President and Secretary-Treasurer shall be ex-officio members of all committees.
Section 2 : Limitation of Powers
No action by any member, committee, division or officer shall be binding upon or constitute an expression of, the policy of the Federation until it shall have been approved or ratified by the Board of Directors of the Federation.
Article XI: Procedures for Disaffiliation, membership revocation or disciplinary action
Section 1: Club Voluntary disaffiliation A club may disaffiliate from the WVBF by notification to the WVBF and TBF.
Section 2: Club involuntary disaffiliation A club may be disaffiliated from the WVBF for any misconduct in complete disregard of ethical sportsmanlike behavior or failure to comply with the club requirements in Article III. Two-thirds of the board must be present when such action is taken and it must be approved by a 2/3 vote of those present. Appeals to the board must be presented in writing to the WVBF President within 30 days of the notice of disqualification.
Section 3: Individual: Membership revocation and/or disciplinary action. Whenever a member is placed on probation, suspended or removed from a club roster as a result of disciplinary action for false information, cheating or other actions detrimental to the integrity and future of the WVBF, the club must report the incident to the WVBF President. The Board will review the incident and may take appropriate action. Two-thirds of the Board must be present when such action is taken and must be approved by 2/3 vote of those present. Any appeals to the board must be presented in writing to the WVBF President within 30 days of the notice of action.
A member may be placed on probation, suspended or removed from the WVBF as a result of disciplinary action for false information, cheating or other actions detrimental to the integrity and future of the WVBF. A member will be considered “Not in good standing” as a result of these issues. The Board will review the incident and may take appropriate action. Two-thirds of the Board must be present when such action is taken and must be approved by 2/3 vote of those present. Any appeals to the board must be presented in writing to the WVBF President within 30 days of the notice of action.
Article XII: By-Laws and Amendments
Section 1 : Interpretation
Final authority for the interpretation of these by-laws shall rest with the West Virginia BASS Federation.
Section 2 : Amendment
a.) These by-laws may be amended by a three-fifths (3/5) vote of the Board of Directors, provided notice of the proposed change or amendment has been mailed to each Director at least thirty days prior to such vote.
